End User License Agreement (EULA)

Effective as of 2024 July 13th

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE AlmaCloudBackup SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

1. Definitions

1.1 "Agreement" refers to this End User License Agreement.

1.2 "Licensor" refers to Alma Total Solutions.

1.3 "Licensee" refers to the individual or entity using the Software.

1.4 "Software" refers to AlmaCloudBackup provided by Licensor.

2. License

2.1 Subject to the terms of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes.

3. Terms of Use

3.1 Licensee must comply with all applicable laws and regulations when using the Software.

3.2 Licensee shall not:

• (a) Use the Software to engage in any activity that is illegal, harmful, or violates the rights of others;


• (b) Use the Software in a way that could harm or impair anyone else's use of the Software;


• (c) Attempt to gain unauthorized access to any service, data, account, or network by any means;


• (d) Use any automated process or service (such as a bot, a spider, or periodic caching of information stored by the Software) to access or use the Software.

4. Restrictions

4.1 Licensee shall not:

• (a) Copy, modify, or create derivative works of the Software;


• (b) Distribute, transfer, sublicense, lease, lend, or rent the Software to any third party;


• (c) Reverse engineer, decompile, or disassemble the Software;


• (d) Use the Software for any unlawful purpose.

5. Ownership

5.1 The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

6. Updates and Upgrades

6.1 Licensor may provide updates or upgrades to the Software at its discretion. Any such updates or upgrades shall be governed by the terms of this Agreement unless separate terms are provided with such updates or upgrades.

7. Support

7.1 For support related to the Software, please contact Alma Total Solutions at info@alma.com.cy.

8. Term and Termination

8.1 This Agreement is effective from the date you first use the Software and shall continue until terminated.

8.2 Licensor may terminate this Agreement at any time without notice if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.

9. Privacy Policy

9.1 Licensee agrees to Licensor's Privacy Policy available at https://alma.com.cy/almacloudbackup/index.php?page=privacy_policy.

10. Amendments

10.1 Licensor reserves the right to amend this Agreement at any time. Notice of any amendments will be provided through the Software's user interface (UI) or, when necessary, through other official channels such as email or SMS. Licensee is responsible for regularly checking the UI for important notifications and updates. These communications will only be sent from verified sources to ensure their security and authenticity.

11. Export Control

11.1 Licensee agrees to comply with all applicable export control laws and regulations.

12. Data Collection

12.1 Licensor may collect and use technical and related information, including but not limited to technical information about your device, system, and application software, to facilitate updates, support, and other services related to the Software.

13. Disclaimer of Warranties

13.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

15. Governing Law and Jurisdiction

15.1 This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus and the European Union.

15.2 Any disputes arising out of or in connection with this Agreement shall be resolved by the courts of the Republic of Cyprus.

16. Miscellaneous

16.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.2 This Agreement constitutes the entire agreement between you and Licensor regarding the use of the Software and supersedes all prior agreements and understandings.
